[인도] 10월 1일 경제동향, 타타스틸 우샤마틴의 철강사업 인수 의향 표명 등

인도 철강기업 타타스틸(Tata Steel)에 따르면 2018년 9월 23일 우샤마틴(Usha Martin)의 철강 사업 인수 의향을 표명했다. 인수 금액은 430억~470억루피 범위로 예상되며 인수과정에서 조정 가능하다. 

타타스틸을 제외하고도 4개 기업인 JSW 스틸(JSW Steel), Kalyani, 베단타(Vedanta), 리버티하우스(Liberty House)도 우샤마틴의 철강사업에 관심을 표명했다.  

타타스틸은 매각 동의서를 9월 22일 제출했다. 인수과정은 향후 6~9개월 내에 완료될 것으로 예상된다. 철강 사업에 관련된 직원들도 해고하지 않고 고용을 승계할 방침이다. 

이번 인수는 타타스틸에게는 롱상품(long product)의 수용성 확립을 위한 전반적인 전략의 일환이다. 높은 부가가치 상품을 포함해서 상품 제공범위를 확장하기 위한 목적이다.  

특수강 및 와이어로프업체인 우샤마틴의 철강 사업은 합금 기반의 롱상품 부문에서 전체 100만톤 규모의 특수제조시설을 잠셰드푸르(Jamshedpur)에 설립했다.

이외에도 철광석광산, 석탄광산이 개발 중에 있으며 발전소사업도 포함된다. 우샤마틴은 인수 거래를 통해 대차대자표를 디레버리지할 것으로 전망한다. 현재 해당사의 채무액은 450억루피에 달한다.

참고로 이전에 와이어 및 와이어로프 사업 운영을 매각할 계획이었으나 시장 상황으로 철강사업의 판매로 전환했다. 전체 매출액은 2018년 3월 31일 마감 기준으로 연간 344억1000만루피로 집계됐다.

Tata Steel  has executed a definitive agreement for acquisition of Usha Martin's steel business  through a slump sale on a going concern basis.

The amount of consideration for the transfer of business will be in the range of Rs 43 billion to Rs 47 billion, subject to adjustments, as per the signed agreements, the companies  said on Saturday.

Apart from Tata Steel, four companies  — JSW Steel, Kalyani, Vedanta and Liberty House — had evinced interest in Usha Martin's steel business.

Tata Steel  entered the agreement for sale on Saturday and the process is expected to be completed in the next six to nine months.

Tata Steel  said the closure of the acquisition was subject to fulfilment of various conditions under the agreements. At the closing, Tata Steel or any of its subsidiaries or affiliates may carry out the acquisition, the company statement to the stock exchanges said.

"The parties shall jointly work towards fulfilment of conditions precedent which are largely regulatory approvals required for the transfer of the business undertaking. All the employees pertaining to the steel business  will transfer as part of the acquisition," the company said.

The steel business of Usha Martin  comprised a specialised one million tonne alloy-based manufacturing capacity in the long products segment based in Jamshedpur, a producing iron ore mine, a coal mine under development and captive power plants.

The acquisition is part of the overall strategy to build capability in long products and expand product offerings including high value-added products, Tata Steel said.

For Usha Martin, the deal would help deleverage its balance sheet. Usha Martin's debt was around Rs 45 billion.

The amount of gross revenue of the steel business and percentage in relation to the company on a standalone basis for the year ended March 31, 2018, was Rs 34.41 billion (approximately 70 per cent). In June, Arpwood Capital and SBI Capital Markets were appointed to find buyers. Around the same time, the board set up an independent committee to evaluate any proposals and oversee the process of sale.

The committee of independent directors of Usha Martin  unanimously recommended to the board the sale to Tata Steel, Usha Martin  said.

Usha Martin was earlier looking to sell its wire and wire ropes business. However, a change in market conditions prompted the company to look at sale of the steel business. After divestment of the steel business and repayment of lenders, Usha Martin will be able to operate a significantly deleveraged wire ropes business, in which it is one of the leading global players, Usha Martin's statement to the stock exchanges said.

인도 정부에 따르면 2019년 하반기에 5G 서비스를 위한 주파수 경매를 개최할 계획이다. 5G 서비스는 국내 통신기업들에게 시장에 대한 더 나은 시각과 차세대 모바일 서비스의 매출 잠재성을 제공할 것으로 판단된다.  

5G 서비스는 모두 소프트웨어로 운영돼 하드웨어를 교체할 필요가 없다. 3G와 4G 서비스에서 업그레이드 과정이 더 빠를 것으로 전망된다. 

경매를 진행하기에 앞서 실험 주파수를 갖고 1년 기한의 시범 테스트 과정을 거칠 계획이다. 정부 주도의 시범 테스트 과정에 일부 통신사가 참여할 수 있도록 기회를 부여할 계획이다. 

국영통신기업인 BSNL와 MTNL에게 향후 몇 개월내에 4G 서비스 주파수를 시험 배분할 계획이다. 승인 과정은 현재 진행 중이며 몇 개월 내에 결정될 것으로 전망된다. 

BSNL와 MTNL은 각각 20개와 2개의 통신 범위을 운영하고 있다. 양사는 서비스를 운영하는 지역에 대한 통신주파수 블록을 요구했다.

Telecom Secretary Aruna Sundararajan Sunday said auction of spectrum for 5G services is likely to happen in the later half of 2019.

“Right now, it (5G allocation) is looking to happen in later half of next year,” she told PTI here.

The 5G services would offer telecom companies better visibility into market dynamics and potential revenue streams of the next-generation mobile services, Sundararajan said.

As long as monetisation avenues and opportunities are properly identified, rollout would not take long because there is no requirement for replacing hardware as it was done to
upgrade from 3G to 4G services, she noted.

“5G services are all software driven.. They don’t have to go and replace the hardware.. So, it can happen much faster,” she said.

However, before the auction, Department of Telecommunications wants to provide a one-year timeframe for trials to happen with experimental spectrum, the Secretary said.

Hence, the government intends to give experimental licenses for telcos to develop test beds to evolve a full-fledged eco-system, she added.

On the trial test bed funded by the government, Sundararajan said it was coming up at IIT Madras along with other IITs.

Ericsson’s test bed is already functional, she noted.

To a query, Sundararajan said the government is expected to decide on spectrum allocation for 4G services to public sector firms BSNL and MTNL within the next couple of months.

“The proposals for cabinet approval are under process. It won’t take time.. We will have our cabinet note ready at the earliest.. So within the next couple of months we expect a
decision by the government,” she said.

It is very important to allocate 4G spectrum for BSNL and MTNL to survive, she added.

In March, the Standing Committee of Information Technology had asked the Centre to allocate 4G spectrum to BSNL and MTNL at the earliest to help them compete and survive
in the market.

BSNL and MTNL operate in 20 and 2 telecom circles, respectively.

Both had requested for 5 Mhz block of radiowaves in 2100 Mhz band in the service area where they operate.

주정부도 RRB(regional rural bank)의 스폰서 중 하나이기에 통합 사항과 관련해 논의도 진행 중이다. 주내의 RRB의 합병을 위한 로드맵도 동시에 준비되고 있다.  

은행 간의 통합으로 개수를 줄여 생산성 상승, 금융환경을 개선할 수 있을 것으로 전망된다. 농촌지역의 신용 흐름도 더욱 높이고 금융 수용성을 향상할 것으로 판단된다.

비용의 최소화, 기술이용의 최적화, 자본기반 및 운영 지역의 향상 등 긍정적인 영향도 전망된다. 현재 RRB는 지점 2만1200개를 운영 중이며 2016/17 회계연도 순수입은 295억루피로 17% 상승됐다.  

이들 은행의 운영권과 통제권은 정부가 유지할 방침이다. 현재 RRB의 지분은 정부에서 50%, 관련 스폰서 은행에서 35%, 주정부에서 15%를 각각 보유하고 있다. 

참고로 글로벌 규모의 은행으로 성장하기 위해 정부는 2018년 9월 3개 국영은행인 바로다은행(BoB), 비자야은행(Vijaya Bank), 데나은행(Dena Bank)의 합병을 발표했다.

Government begins consolidation of regional rural banks, to bring down tally to 36

The move will enable RRBs to minimise their overhead expenses, optimise the use of technology, enhance the capital base and area of operation, the official added. 

The government has initiated consolidation of regional rural banks along with the public sector lenders and intends to bring down their number to 36 from the existing 56. 

In this regard, the Centre has begun consultations with states as they are one of the sponsors of the regional rural banks (RRBs) in the country, a senior Finance Ministry official has said. 

Besides, sponsor banks are also preparing road map for the amalgamation of RRBs within a state, the official said. 

The development assumes significance in the light of government earlier this month announcing decision to merge Bank of Baroda(NSE -4.21 %), Vijaya Bank(NSE -7.49 %) and Dena Bank(NSE -4.13 %) to create another global size bank. 

The proposed consolidation of RRBs and bringing down their tally from the existing 56 to 36 will usher in better scale-efficiency, higher productivity, robust financial health of such banks, improved financial inclusion and greater credit flow to rural areas, the official said. 

Besides, the move will enable RRBs to minimise their overhead expenses, optimise the use of technology, enhance the capital base and area of operation, the official added. 

These banks were formed under the RRB Act, 1976, with an objective to provide credit and other facilities to small farmers, agricultural labourers and artisans in rural areas. 

The Act was amended in 2015 whereby such banks were permitted to raise capital from sources other than the Centre, states and sponsor banks. Currently, the Centre holds 50 per cent in RRBs, while 35 per cent and 15 per cent are with the concerned sponsor banks and state governments, respectively. 

Even after stake dilution, the shareholding of the Centre and the sponsor public sector banks together cannot fall below 51 per cent, according to the amended Act. 

As a result, the ownership and control would remain with the government. In order to improve the financial health of RRBs, the government initiated consolidation of RRBs in a phased manner in 2005. The number of RRBs came down to 133 in 2006 from 196 at the end of March 2005. It further came down to 105 and subsequently to 82 at the end of March 2012. Further consolidation brought down number of such banks to 56. 

RRBs operating through about 21,200 branches witnessed a 17 per cent rise in net profit to Rs 2,950 crore in 2016-17. Their loans and advances outstanding under various schemes rose 15 per cent to Rs 3.5 lakh crore as of March 2017.
